Terms of Service for PHILS

These Terms of Service (“Terms”) govern your access to and use of the PHILS website, PHILS mobile application, and related services (collectively, the “Services”).
The PHILS website is publicly available. The PHILS mobile application is currently in development and is not yet publicly available.
By accessing or using the Services, you agree to these Terms. If you do not agree to these Terms, do not use the Services.
1. Eligibility and Age Verification
You must be at least 16 years old to use the Services.
As part of account creation or continued access to the Services, PHILS may require you to provide or confirm age-related information so that we can determine whether you meet the minimum age requirement.
Depending on the method PHILS uses, this may include your date of birth, month and year of birth, age range, or another age-verification or age-confirmation method.
You agree to provide accurate age and eligibility information.
If you are under 16, you may not create or maintain a PHILS account or use account-based PHILS features.
PHILS does not require parental or guardian consent solely because a user is 16 or 17 years old.
Certain PHILS features may have additional eligibility requirements.
Access to affiliated-member features may require:
- Affiliation with a supported school, chapter, or organization
- Authentication through an approved school identity provider
- Verification of your school or organizational affiliation
- Approval or other authorization required by the applicable PHILS feature
PHILS may restrict access when required age, verification, or eligibility requirements cannot be satisfied.
2. Accounts
You agree to provide accurate and current information when creating or using an account.
You may not impersonate another person or misrepresent your identity, age, affiliation, authorization, school, chapter, or organization.
Individual Accounts
Individual user accounts are personal to the authorized user and may not be shared with another person.
You are responsible for protecting access to your account and for activity conducted through your account.
Do not share authentication codes, login sessions, or other account-access information with another person.
Chapter Operational Accounts
Certain PHILS accounts are designed to operate as chapter or organization accounts rather than as individual personal accounts.
A chapter operational account may be accessed only by representatives who are authorized to act on behalf of the applicable organization and as permitted by PHILS.
The organization and its authorized representatives are responsible for:
- Limiting account access to authorized individuals
- Protecting account credentials
- Removing access when a representative is no longer authorized
- Promptly changing or securing credentials when authorization changes or compromise is suspected
If you believe any PHILS account has been compromised or accessed without authorization, contact PHILS promptly.
3. Appropriate Use
You agree not to:
- Use the Services for unlawful, fraudulent, harmful, deceptive, abusive, or harassing purposes
- Falsify your age or other eligibility information
- Impersonate another person, chapter, organization, school, or other entity
- Access or attempt to access an account, chapter, organization, community, conversation, or feature you are not authorized to access
- Fraudulently claim or attempt to control a chapter or organization account
- Circumvent authentication, age verification, eligibility verification, membership, access-control, or organization restrictions
- Provide false information in order to obtain access to restricted features
- Interfere with, disrupt, damage, overload, or compromise the Services
- Attempt to discover or exploit vulnerabilities in the Services
- Reverse engineer, decompile, disassemble, or tamper with the application except to the extent such restriction is prohibited by applicable law
- Scrape, harvest, collect, or systematically extract information about users without authorization
- Use automated systems to access the Services in a manner not authorized by PHILS
- Send spam or unauthorized commercial communications
- Upload or transmit malware or other harmful code
- Use the Services in a way that infringes another person's rights
- Violate applicable law
- Use PHILS in a manner that materially violates applicable university or organization rules
4. School, Chapter, and Organization Affiliations
PHILS provides technology that allows eligible users and organizations to interact with supported school and Greek-life communities.
Users are responsible for accurately representing their affiliations and authority.
Chapter and Organization Authority
You may create, claim, access, administer, or operate a chapter or organization account only if you are authorized to act on behalf of that organization.
You may not:
- Falsely claim authority over an organization
- Impersonate another organization
- Create or claim an organization account for a chapter you are not authorized to represent
- Attempt to obtain control of another organization's PHILS account
- Allow an unauthorized person to operate an organization account
PHILS may request additional verification of authority at any time.
If PHILS reasonably believes that an organization account has been claimed, accessed, or operated without authorization, PHILS may investigate the matter, restrict or suspend access, revoke an account claim, or take other reasonable steps to protect the affected organization and the Services.
Where reasonably necessary to investigate or resolve suspected unauthorized organization activity, PHILS may contact the relevant chapter, organization, educational institution, or other appropriate party.
Organization Decisions
Participating chapters and organizations may make decisions involving their own memberships, events, communications, participation records, coaching relationships, and internal activities.
Those decisions are made by the applicable organization and its authorized representatives, not by PHILS.
PHILS does not guarantee membership, participation, organization approval, coaching assignments, or continued affiliation.
Independent Platform
PHILS is an independent platform.
Unless expressly stated otherwise, PHILS is not affiliated with, sponsored by, approved by, or endorsed by any university, fraternity, sorority, national Greek organization, chapter, or other educational institution or organization.
References to schools, organizations, or chapters are for identification and platform-functionality purposes and do not imply endorsement.
5. User Content
“User Content” means content that users or organizations submit, upload, create, transmit, or otherwise make available through the Services, including:
- Profile information
- Profile images
- Chapter information
- Event information
- Announcements
- Messages
- Reactions
- Participation-related information
- Other content submitted through PHILS
You retain ownership of User Content that you own.
By submitting User Content, you grant PHILS a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, and display that content as reasonably necessary to operate, maintain, secure, provide, and improve the Services.
This license does not transfer ownership of your User Content to PHILS.
You represent that you have the rights and permissions necessary to submit the User Content you provide.
You are responsible for your User Content.
PHILS may remove, restrict, or disable access to content that we reasonably believe:
- Violates these Terms
- Violates applicable law
- Infringes another person's rights
- Creates a security risk
- Is fraudulent, abusive, threatening, discriminatory, harassing, or otherwise harmful
- Materially interferes with the operation of the Services
6. Communications
PHILS may provide chapter announcements, group conversations, coaching-related communications, reactions, and other communication features.
You may not use PHILS communications to distribute content that is:
- Unlawful
- Threatening
- Harassing
- Discriminatory
- Fraudulent
- Deceptive
- Abusive
- Defamatory
- Spam
- Malicious
- Infringing
- Otherwise prohibited by these Terms
Messages and announcements may be visible to other users who are authorized to participate in or view the applicable group or communication.
Certain authorized chapter accounts may have access to communications where required by the design and permissions of the applicable PHILS feature.
PHILS may also send service-related communications concerning your account, authentication, security, changes to the Services, or other important operational matters.
7. Events
Events displayed through PHILS may be created, organized, sponsored, hosted, or managed by participating chapters, organizations, or other third parties.
Unless PHILS expressly states otherwise, PHILS is not the organizer, host, sponsor, or operator of those events.
PHILS does not control and is not responsible for:
- Event content
- Event descriptions supplied by organizations
- Event scheduling
- Event cancellation or modification
- Conduct of event organizers or participants
- Physical safety at an event
- Transportation
- Venue conditions
- Event outcomes
- Funds raised in connection with an event
- Representations made by an event organizer
Users participate in third-party events at their own discretion.
Organizations using PHILS remain responsible for complying with laws, school rules, organizational requirements, permits, safety requirements, and other obligations applicable to their events and activities.
8. Fundraising, Payments, and Third-Party Services
PHILS may provide information about fundraising opportunities or links that allow users to access external payment or donation services.
PHILS does not collect, process, or store users' card numbers, bank account numbers, or other payment credentials unless PHILS expressly states otherwise for a particular service.
Payments or donations made through an external provider are processed by that provider and are subject to that provider's terms, fees, policies, and privacy practices.
PHILS does not guarantee:
- The availability of a third-party payment service
- The completion of a payment
- Refunds
- Chargebacks
- The use or allocation of funds by a participating organization
- Fundraising results
The Services may also rely on or link to other third-party services, including authentication providers and infrastructure providers.
PHILS is not responsible for the independent acts, availability, policies, or content of third-party services.
9. Intellectual Property
The Services, including PHILS software, technology, designs, interfaces, graphics, logos, branding, text created by PHILS, and other materials provided by PHILS, are owned by PHILS LLC or its licensors and are protected by applicable intellectual-property laws.
“PHILS,” the PHILS logo, and associated branding may not be copied, used, modified, or distributed without authorization except as necessary to use the Services as intended.
These Terms do not transfer ownership of PHILS intellectual property to you.
Nothing in these Terms limits the ownership rights users retain in their own User Content.
10. Suspension and Termination
PHILS may restrict, suspend, or terminate access to all or part of the Services when we reasonably believe that:
- You violated these Terms
- You do not meet the minimum age requirement
- You falsified age or other eligibility information
- You are no longer eligible for a restricted feature
- Your school, chapter, organization, or role affiliation can no longer be verified
- An organization withdraws or changes your authorization
- You provided false, fraudulent, or misleading information
- Your account has been compromised
- Your use creates a security or legal risk
- Your conduct materially harms other users, organizations, PHILS, or the Services
- Suspension or termination is required by law
PHILS may take reasonable steps to investigate suspected misuse before or after restricting access.
If PHILS learns that a user is under 16, PHILS may suspend or terminate that account and take reasonable steps regarding associated information in accordance with the PHILS Privacy Policy and applicable law.
You may stop using the Services at any time.
You may also request deletion of your account as described in the PHILS Privacy Policy and through any account-deletion functionality PHILS makes available.
Termination or deletion does not necessarily require PHILS to delete information that it is permitted or required to retain for legitimate security, legal, operational, fraud-prevention, dispute-resolution, or recordkeeping purposes.
11. Service Availability and Changes
PHILS is under active development.
We may add, remove, change, suspend, or discontinue features as the Services evolve.
We do not guarantee that every feature will always be available or that a particular feature will remain unchanged.
PHILS may perform maintenance, updates, testing, or security work that temporarily affects availability.
12. Disclaimers
To the fullest extent permitted by applicable law, the Services are provided “as is” and “as available.”
PHILS disclaims warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the extent such disclaimers are permitted by law.
PHILS does not warrant that:
- The Services will always be available, uninterrupted, or error-free
- All information provided through the Services will be complete, accurate, or current
- Third-party services will remain available
- Events, organizations, or users will perform as represented
- The Services will meet every user's specific requirements
Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
13. Limitation of Liability
To the fullest extent permitted by applicable law, PHILS LLC and its owners, members, officers, employees, agents, and contractors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to your use of or inability to use the Services.
This includes, to the extent permitted by law, damages relating to:
- Loss of data
- Loss of profits or revenue
- Loss of goodwill
- Service interruption
- Third-party conduct
- Events or activities organized by third parties
- Unauthorized access not caused by PHILS's violation of applicable legal obligations
- Third-party payment or other external services
Some jurisdictions do not allow certain limitations or exclusions of liability. In those jurisdictions, these limitations apply only to the extent permitted by applicable law.
Nothing in these Terms limits liability that cannot legally be limited or excluded.
14. Privacy
Your use of the Services is also subject to the PHILS Privacy Policy.
The Privacy Policy explains how PHILS collects, uses, shares, retains, and protects information in connection with the Services.
15. Changes to These Terms
PHILS may update these Terms from time to time.
When changes are made, we will update the “Last Updated” date at the top of these Terms.
If a change is material, we may provide additional notice through the Services, by email, or through another reasonable method.
Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.
If you do not agree to updated Terms, you should stop using the Services.
